IFX International, Inc. Intranet Terms of Use
Please read these terms carefully before accessing the IFX Franchise Management Platform.
The following terms and conditions govern your access to and use of the IFX Franchise Management Platform (the "Intranet"). By accessing this site and/or utilizing the information provided, the Franchise Owner and each of its Franchise Users accepts and is bound by these Terms of Use.
General Provisions
1. Definitions
The term "you" encompasses clients, employees, franchise owners, and franchise users. "We" or "us" refers to IFX.
2. Acceptance of Terms
By accessing the Intranet, you represent that you have read and agree to abide by all of these terms and conditions. Continued use of the Intranet constitutes your acceptance. If you do not agree, you must immediately discontinue use.
3. Intranet Access
Access to the Intranet requires passwords and proper authorization. Franchise Owners must be in good standing under their Franchise Agreement to access the Intranet. IFX may suspend access for defaults or charge access fees as applicable.
4. Modifications
IFX may modify these terms immediately upon posting. Your continued use of the Intranet constitutes acceptance of any modifications.
5. Confidentiality of Our Information
All information on the Intranet is confidential. You may not disclose passwords, domain names, or URLs to unauthorized persons. Violation of these provisions constitutes a breach of the Franchise Agreement. Any security breaches must be reported immediately to support@ifxonline.com.
6. Your Registration Information
You are responsible for ensuring your registration information is accurate and complete, and for promptly notifying us of any changes.
7. Prohibited Conduct
You may not interfere with networks, use disruptive software, transmit malware, overload infrastructure, deliver unlawful communications, post defamatory or obscene material, or infringe on third-party rights.
8. Adding and Removing Franchise Users
Franchise owners request employee access through clients. One username and password is issued per franchise owner. No employee of yours will be deemed to be an agent or employee of ours for any purpose whatsoever.
9. Our Intellectual Property
IFX Lite is a registered trademark of IFX International, Inc. All content on the Intranet is protected by copyright. You may download materials for franchise operation purposes only. You may not reproduce or allow others to reproduce any Intranet content.
10. Termination
Access terminates upon default, franchise transfer, or IFX's decision to cease operations. Users who have not logged in within 30 days may have their access removed.
11. Disclaimer of Liability
THE INTRANET IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. IFX ASSUMES NO LIABILITY FOR ERRORS, DOWNTIME, OR DAMAGES ARISING FROM ACCESS OR USE, INCLUDING NEGLIGENCE, EVEN IF WARNED IN ADVANCE.
12. Indemnity
You agree to indemnify IFX against all claims arising from violations of these terms, third-party claims, negligence, misconduct, or malware transmission.
13. Notices
Notices under these terms must be sent to the contact email associated with your account.
14. No Waiver
Failure to enforce any provision of these terms does not constitute a waiver of that provision.
15. Governing Law and Forum for Litigation
Disputes are governed by the dispute resolution provisions of the applicable Franchise Agreement.
Electronic Commerce Through the Intranet
1. Electronic Signatures
You acknowledge the legal validity of electronic signatures for binding contracts entered into through the Intranet.
2. Terms of Electronic Commerce Transactions
All transactions are governed by the applicable vendor or buyer agreements, or applicable law.
3. Disclaimer of Warranty
WE MAKE NO WARRANTY THAT ANY INFORMATION, PRODUCT, OR SERVICE AVAILABLE ON THE INTRANET WILL FULFILL A FRANCHISE OWNER'S, FRANCHISE USER'S, OR OTHER USER'S PARTICULAR PURPOSES OR NEEDS.
SMS Communications
By opting in during account registration, you agree to receive SMS messages from IFX International, Inc., regarding operational updates, compliance reminders, and urgent operational alerts. Message frequency varies. Messages and data rates may apply. Reply STOP to opt out or HELP for help. See our Privacy Policy. Carriers are not liable for delayed or undelivered messages.
1. E-Mail Storage
IFX reserves the right to set storage limits and assumes no responsibility for deletion or storage failures associated with your email account.
2. Privacy
Your email account associated with the franchised business is not private and may be accessed by us in our discretion.
3. Email Signatures
All outgoing emails must include the following signature format: "[Client/Franchisor name]: Independent owner and operator of Client's brand and legal name."
4. Client, Franchise Owner, and Franchise User Representations
You may not transmit malware, chain letters, spam, or create false identities through your email account.
Intranet Forums
1. Information Posted on Forums
Only content you own, are authorized to submit, or that is in the public domain may be posted. IFX does not guarantee preservation of forum content; you must maintain your own records.
2. Intellectual Property
Copyright infringement will result in termination of access in accordance with our DMCA policy. Report infringement to legal@ifxonline.com.
3. Disclaimer of Liability
IFX does not control forum messages and is not responsible for their content, though it reserves the right to monitor forums. All Clients, Franchise Owners, and Franchise Users are solely responsible for the content of the messages they deliver.
4. Rights to Messages Delivered to the Intranet Forums
Material you post to forums automatically becomes the property of IFX without confidentiality obligations. IFX may modify, use, and distribute this material in any way with no liability to you.
